On Monday 15 January 2018, the High Court appointed the Official Receiver as liquidator of Carillion Plc and several of its subsidiary companies on the petition of the Companies’ directors. Simultaneously, the Court also appointed Special Managers to support him. Since that time, a number of other companies in the group have entered liquidation and in many (but not all) cases, also with the appointment of special managers.

The Official Receiver acts as an Officer of the Court in insolvency matters and is also an employee of the Insolvency Service, an executive agency of the Department for Business, Energy & Industrial Strategy. Where the Official Receiver acts as liquidator, the agency is responsible for overseeing the insolvency process, investigating the cause of company failure and making redundancy and other related payments to employees when their employer is unable to do so.
For Carillion, the Official Receiver’s priority was to ensure the continuity of public services while securing the best outcome for creditors. When the companies entered liquidation, employees, agents and subcontractors were asked to continue to work as normal whilst the businesses could be stabilised, the companies’ affairs could be reviewed and options considered for the transition of contracts to third parties in conjunction with the orderly wind-down of the businesses.

The Special Managers were appointed by the High Court to help manage the affairs, business and property of those companies, in accordance with the powers and duties contained in the order appointing them. The Special Managers act as agents of the Carillion companies, without personal liability. All are licensed in the United Kingdom to act as insolvency practitioners by the Institute of Chartered Accountants in England and Wales.

We regret to advise that Michael Jervis, one of the joint Special Managers, sadly passed away on 4 January 2023.
In order to ensure the continued progression of the liquidations, an application was made to the Court to appoint a replacement Special Manager. We are pleased to advise that at a Court hearing held on 30 August 2023, Mike Jervis was discharged as a Special Manager of the Companies and Adam Seres was appointed as a replacement Special Manager for all of the Companies. Toby Banfield was also appointed as an additional Special Manager for Carillion Plc and Carillion Construction Limited.
Certain companies in the Carillion group were outside the geographical jurisdiction of the Official Receiver, therefore where those companies entered into liquidation, it was necessary for an insolvency practitioner other than the Official Receiver to be appointed. These companies are listed in the section Other Non-Special Manager Appointments below. The liquidators act without personal liability.

*Michael John Andrew Jervis, David James Kelly, and Russell Downs were appointed as provisional liquidators by the Court of Session to manage the affairs, business and property of Carillion (AMBS) Limited, with the powers set out in Schedule 4 to the Insolvency Act 1986. On 25 April 2018 the Court of Session placed the company into liquidation and appointed the provisional liquidators as interim liquidators.
At a meeting of creditors held on 6 June 2018 the interim liquidators were appointed liquidators to manage the affairs, business and property of Carillion (AMBS) Limited, without personal liability.
